1. Agreement

These Terms govern your use of my website and any virtual assistant services provided by Shawnte' Williams Virtual Assistant ("Provider"). By booking a call, using the site or engaging my services, you ("Client") agree to these Terms. A separate written agreement or proposal may add to or override them for a specific client.

2. Services

Services are described in the package you select (for example, The Seed, Growth Package or Executive Package) or in a written proposal. Typical services include calendar and appointment setting, chat and inbox management, travel coordination, research and comparison, order processing, customer support, data entry, data visualization, and bill and deadline tracking.

Services not listed in your package are outside the scope unless we agree in writing, and may be priced separately. Included hours or task volume are confirmed in your written client agreement.

Insurance and investment planning referrals. I am currently working toward my life insurance license through Primerica. I may provide introductions to appropriately licensed insurance or investment professionals at your request. This referral offering is separate from virtual assistant packages and does not include insurance or investment advice, planning or product recommendations from me. Any professional advice, product selection or transaction is handled directly between you and the licensed professional.

3. Discovery call

Every engagement begins with a discovery call to confirm fit and scope. The call is free and creates no obligation for either of us. Either party may decline to move forward.

4. Fees and payment

Package prices are listed on my website and are subject to change. Prices shown are monthly unless stated otherwise. Your selected package, billing schedule, payment deadline, any late fees and payment or invoicing provider are confirmed in your written client agreement or payment instructions. Work may be paused for overdue balances.

Fees are non-refundable once work for the billing period has begun, except as stated in a written agreement.

Client pays third-party costs (for example flights, hotels, software subscriptions and fees for bookings) directly or reimburses me. I will not make purchases on your behalf without your approval.

5. Scope, hours and response times

I perform services Monday through Friday, 10am–6pm Central Time. I aim to respond to messages within one business day. Messages received outside these hours are handled during the next business day. Any alternative hours or package-specific communication arrangements must be agreed in writing.

Unused hours or tasks do not roll over to the next month unless we agree otherwise in writing. Requests that exceed the package scope may require an upgrade or additional fee.

6. Client responsibilities

Client agrees to provide timely information, access and decisions needed to do the work; to give me access only to accounts and data Client is authorized to share; and to review my work, including travel bookings and calendar entries, before relying on it. Client remains responsible for final decisions and for the accuracy of information supplied.

7. Confidentiality

I will keep Client's non-public business and personal information confidential and use it only to perform the services, as described in the Privacy Policy. This does not apply to information that is public, already known to me, independently developed or required by law to be disclosed.

This obligation continues after our engagement ends. Client agrees not to ask me to perform illegal or unethical tasks.

8. Independent contractor

I am an independent contractor, not an employee, partner or agent of Client. I control how and when the work is performed, use my own equipment, and am responsible for my own taxes and insurance.

9. Ownership of work

Documents, spreadsheets and other deliverables I create specifically for Client become Client's property once Client has paid in full. I keep ownership of my pre-existing templates, processes and methods, and may reuse general know-how. Client's data and materials remain Client's property.

10. Term and cancellation

Unless otherwise agreed, services continue month to month. Cancellation notice and any related payment obligations are set out in your written client agreement; notice may be provided by email. Client will pay for work completed as provided in that agreement.

I may end services immediately for non-payment, abusive conduct or requests that are unlawful. At the end of the engagement I will stop using Client's accounts and handle data as described in the Privacy Policy and our written agreement.

11. No guarantee of results

I provide administrative support and perform services with reasonable care and skill. I do not guarantee specific business outcomes, revenue, or availability and pricing of third-party travel or products. My administrative services are not legal, tax or financial advice.

12. Liability

Any agreed limitations of liability are set out in your written client agreement and apply only to the extent permitted by applicable law. No specific monetary cap or look-back period is established by this website. I am not responsible for errors, outages or delays caused by third-party services or by inaccurate information Client provides, to the extent allowed by law.

13. Indemnification

Client agrees to defend and hold me harmless from claims arising from Client's business, Client's instructions, or Client's content or data, except to the extent caused by my own gross negligence or willful misconduct.

14. Use of my website

Content on my site, including text, branding and photographs, belongs to me and may not be copied or reused without permission. The site is provided "as is," and I do not promise it will always be available or error free.

15. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Disputes will be handled first by good-faith discussion between us. Any agreed dispute venue is set out in your written client agreement, subject to applicable law; these website Terms do not select a specific county.

16. Changes and entire agreement

I may update these Terms; the effective date shows the latest version. Changes do not affect work already paid for during a current billing period. These Terms, together with the Privacy Policy and any signed proposal or client agreement, are the entire agreement between us on this subject.
